I am a U.S.-trained lawyer and accountant, and advise public and private companies on U.S. tax matters. I focus on U.S. international tax, cross-border investments and reorganizations, tax compliance under the IRS’s voluntary disclosure programs, FATCA, and expatriations. I regularly help clients evaluate and implement tax-related structures for U.S. domestic and international corporate mergers and acquisitions for various tax-related purposes, including optimizing effective tax rates, protecting against the estate tax, lowering U.S. tax compliance burdens, implementing estate and repatriation plans, and addressing FIRPTA issues.

Representative Work

  • Advised a Silicon Valley-based client on the applicability of the anti-inversion rules.
  • Reorganized privately-held Canadian corporations and partnerships to reduce the net-effective tax on income earned and distributed to their U.S.-citizen owners.
  • Advised a Canadian-based private equity group on how to structure its investment in U.S. real estate.
  • Reorganized a Canadian-based private equity group to lower its U.S. tax compliance burdens, address FIRPTA issues, and protect against the estate tax.
  • Reorganized business structures to mitigate or eliminate the negative Canadian tax consequences applicable to Canadian residents who own interests in LLCs and similar U.S. entities (including LLPs).
  • Advised and implemented preimmigration planning for future U.S. residents and emigration planning for future Canadian residents.
  • Drafted cross-border trusts to hold U.S. real estate for Canadian (and other non-U.S.) beneficiaries, which insulates the beneficiaries from the estate tax that would otherwise apply if they owned the property individually on death.
  • Advised individuals and corporations on filing untimely U.S. tax returns, including filing under IRS amnesty programs for individuals.
